Legal
Effective [date]. Governed by Swedish law.
Upkeep is operated by [Company legal name], a company registered in Sweden under organization number [org. number], with its registered office at [registered address] (“Upkeep”, “we”, “us”). These terms govern your use of the Upkeep service at upkeep.se and msp.upkeep.se (the “Service”).
By creating an account or using the Service, you agree to these terms on behalf of yourself and, if applicable, the company or organization you represent.
Upkeep monitors domains you add to your account - checking SSL certificate validity, DNS resolution and records, domain registration expiry, registrar and nameserver changes, SPF/DKIM/DMARC email security, and HTTP/HTTPS reachability - and emails your account's designated recipients when a monitored condition changes.
You're responsible for only adding domains you own or are authorized to monitor. Every check we run connects to the domain's own public infrastructure (DNS, TLS, HTTP) - the same way any visitor's browser would - and never to infrastructure you don't have a legitimate reason to reach.
You need an account to use the Service. You're responsible for keeping your login credentials confidential and for all activity under your account. Tell us immediately if you suspect unauthorized access.
An account belongs to one company or organization. A user with access to more than one company (for example, an MSP managing several client accounts) switches between them from within the dashboard - each still has its own domains, alert settings, and team.
Upkeep offers a Free plan and paid plans (Starter, Premium, MSP) billed monthly through Stripe, our payment processor. Paid plans renew automatically until cancelled. You can upgrade, downgrade, or cancel at any time from Settings → Company; a downgrade or cancellation takes effect at the end of your current billing period, and you keep your current plan's features until then.
If a downgrade takes your account below its new plan's domain limit, we'll warn you beforehand and, once the downgrade takes effect, automatically remove your most recently added domains to fit - keeping your oldest domains active.
Prices are shown in SEK and exclude VAT unless stated otherwise. We can change prices or plan features with reasonable notice; changes won't apply retroactively to a billing period you've already paid for.
Don't use the Service to monitor domains you don't own or aren't authorized to monitor, to attempt to disrupt or overload any system (ours or anyone else's), to circumvent the per-domain safeguards the Service applies (including the safeguard that blocks checks from targeting private, loopback, or internal network addresses), or to violate applicable law.
We can suspend or terminate an account that we reasonably believe is being used this way, with notice where practical.
You own the domain and monitoring data you add to your account. We process it to provide the Service to you, as described in our Privacy Policy. You can export your domains (via CSV) or delete them at any time; deleting a domain also deletes its check history.
If your account is closed, we retain account and monitoring data only as long as described in our Privacy Policy, then delete it.
We aim to keep the Service and its monitoring checks running reliably, but we don't guarantee uninterrupted availability, and we don't guarantee that every check will run at its stated cadence in every circumstance (for example, during planned maintenance or an outage of a third-party service we depend on).
The Service is provided “as is.” To the extent permitted by Swedish law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the extent permitted by Swedish law, Upkeep isn't liable for indirect, incidental, or consequential damages (including lost profits or lost data) arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim arose.
Nothing in these terms limits liability that can't be limited under mandatory Swedish or EU law.
You can close your account at any time from Settings → Company. We can suspend or terminate an account for a material breach of these terms (including the acceptable-use section above) that isn't fixed after we've given you a reasonable chance to fix it.
We can update these terms from time to time. We'll post the updated version here with a new effective date, and for material changes, we'll email the account owner. Continuing to use the Service after a change takes effect means you accept the update.
These terms are governed by the laws of Sweden, without regard to conflict-of-law principles. Any dispute that can't be resolved informally is subject to the exclusive jurisdiction of the Swedish courts, with Stockholm District Court (Attunda tingsrätt) as the court of first instance, unless mandatory consumer-protection law gives you the right to bring a claim elsewhere.
